Contractor Compensation Addendum - Supervisor

Parties to Agreement

This Addendum, effective as of October 12, 2026, is a formal component of the Independent Contractor Agreement ("Agreement") between  ("Contractor") and Webwell Group, PLLC ("Practice"). This document defines the revenue sharing structure and the administrative processes for compensation. All other terms and conditions of the original Agreement remain in full force and effect.

1. Revenue Sharing Levels for Clinical and Supervisory Services

The Practice operates on a revenue-sharing model where compensation is a percentage of the actual collected fees for all professional services rendered by the Contractor. The Practice does not guarantee a minimum caseload or a specific amount of compensation. The Contractor, operating as a Board-Approved Supervisor, will be compensated according to the following specialized structure:

Initial Assessments and Ongoing Caseload: In the event the Contractor conducts initial diagnostic assessments (whether by their own election or when required to meet specific insurance payer or billing platform requirements), the Contractor will be compensated at a rate of 70 percent of the collected reimbursement rate. This compensation covers completing the assessment, diagnostic formulation, risk assessment, determination of medical necessity, treatment recommendations, treatment plans, and any other required documentation. If the Contractor elects to maintain an individual clinical caseload and provide ongoing psychotherapy services beyond the initial assessment, the Contractor shall also receive 70 percent of the collected fee for those ongoing clinical sessions.

Associate Documentation Review and Sign-Off: For psychotherapy services provided by designated associates that require the Contractor's clinical review and sign-off, the Contractor will receive 15 percent of the collected session reimbursement. This compensation covers the routine review of progress notes, required treatment plans, clinical sign-offs, corrective feedback, and the review of reasonable revisions when documentation requires correction by the associate.

2. Categories of Professional Services

The Practice acknowledges that clinicians are often asked to provide services outside of the standard therapy hour. This section clarifies how different types of work are categorized and billed to ensure ethical role clarity and administrative accuracy for both the Practice and the Contractor. To ensure the Contractor is compensated for their professional time, the following fee structure applies:

Clinical Professional Services: These are traditional therapeutic sessions, including diagnostic assessments, individual, family, or group therapy. The Contractor is responsible for maintaining all clinical records within the Practice EHR to the standards defined in the main Agreement. Compensation for these services is the percentage defined in Section 1 applied to the collected session fee.

Practice-Level Consultation and Administrative Services: A $95 per hour administrative rate applies exclusively to pre-approved, extensive responsibilities requested by the Practice outside of routine documentation review. This includes formal staff training, extensive chart audits, practice policy and workflow development, or formal clinical consultation requested by Practice leadership. This rate does not apply to routine brief communications or quick care coordination.

Associate-Billed Supervisory Fees and Onboarding: The Contractor independently establishes the format, frequency, and fees for any clinical consultation meetings for associates whose documentation they oversee. If an associate elects to utilize the Contractor as their primary LPC-S, they may do so. Because the Practice does not guarantee that the Contractor will serve as the primary supervisor, any independently established primary supervisory relationship, as well as any ongoing consultation fees or paid initial onboarding meetings specific to the Contractor's documentation expectations, shall be handled through a separate agreement directly between the Contractor and the associate at rates determined entirely by the Contractor. The Practice does not collect, manage, or dictate the structure of any of these associate-billed services.

Standard Non-Billable Assessments: Routine, short-form inventories used to monitor a client’s progress (such as anxiety or depression screeners) are considered a standard component of the clinical process. The Contractor’s compensation for a standard session includes the time spent administering and reviewing these tools. No additional fee is generated for these routine assessments.

Formal Billable Assessments and Administrative Services: These are specialized, time-intensive tasks such as scoring diagnostic tests or writing formal treatment summaries for third parties. The Practice bills clients for these services in accordance with the Practice’s established administrative fee schedule. The Contractor is compensated for these services at their 70 percent standard clinical percentage rate.

Legal and Court-Related Professional Services: These are non-therapeutic services involving legal proceedings, including but not limited to depositions, court appearances, preparation time, travel, and consultations with attorneys. Because these services are distinct from therapy, the Practice bills the client or the requesting party based on the Practice’s established legal fee schedule or a specific retainer. The Contractor is compensated at their 70 percent standard clinical percentage rate, applied strictly to the fees the Practice successfully collects, for all documented professional time spent on these activities. The Contractor must document all legal work, including preparation and travel, in 15-minute increments by creating a corresponding entry in the Practice EHR calendar and an administrative note to ensure billing accuracy.

No-Show and Late-Cancellation Fees: The Practice assesses and collects fees for appointments missed or canceled without sufficient notice according to established policy. Because the Contractor operates under multiple revenue-sharing levels, compensation for these collected fees is distributed accordingly. The Contractor is entitled to 70 percent of the collected fee for appointments missed by their own directly assessed or caseload clients. For appointments missed by clients of designated associates, the Contractor is entitled to 15 percent of the collected fee. Because initial diagnostic assessments for prospective new clients frequently result in waived or uncollected missed-appointment fees, no compensation is generated for missed intakes unless the fee is successfully recovered by the Practice. No compensation is due for any fees that are waived or remain uncollected.

3. Payment Process

The Practice utilizes a streamlined digital process to ensure transparency and timely compensation while maintaining the independent status of the Contractor. This process eliminates manual invoicing by utilizing the Practice's designated billing platform as the definitive source of truth for all collected funds.

By the 10th of each month, the Practice will process payment for the Contractor's revenue share via direct deposit (subject to standard ACH banking delays) for all professional services and clinical oversight for which final payment was successfully collected and cleared during the previous calendar month. At the time of disbursement, the Practice will provide the Contractor with a system-generated revenue report detailing these collections. By mutual agreement, this report serves as the Contractor's formal invoice to the Practice for the pay period. If the 10th falls on a weekend or a banking holiday, the payment will be processed on the next business day.

4. Recoupments, Clawbacks, and Reversed Payments

As an independent professional, the Contractor assumes the financial risk associated with their clinical documentation, billing accuracy, and the collection of fees. In the event of an insurance recoupment, "clawback," or any reversed payment for any reason (including but not limited to ACH returns, credit card chargebacks, or administrative errors), the Contractor is financially responsible for the portion they were previously compensated. The Practice will deduct the owed amount from the Contractor’s upcoming payment. If the Contractor has departed the Practice or if upcoming payments are insufficient to cover the reversal, the Contractor agrees to remit the full amount to the Practice within 15 days of written notice. This obligation covers any financial reversals, regardless of the cause, including but not limited to documentation that fails to meet medical necessity or insurance audit standards.

5. Sustainability and Modification

To maintain the viability of the provided technology and office infrastructure, the Practice relies on the Contractor to maintain consistent engagement with the associate oversight process. Because the Contractor's volume is directly tied to the associate pipeline rather than a traditional individual caseload, the Practice does not require a minimum session quota. Instead, the Contractor agrees to complete all required associate documentation reviews within 48 hours of the associate finalizing the note. Furthermore, to ensure ongoing compliance, the Contractor agrees to provide mutually agreed upon availability within the digital calendar for initial assessments in the event that specific insurance payers, billing platforms, or client transfers require the Contractor's direct clinical involvement. This Addendum may be modified by the Practice with 30 days' written notice to the Contractor. The Contractor’s continued provision of services after the effective date of a modification constitutes acceptance of the new compensation terms.
